# Terms and Conditions

Welcome to Crossroads GPS, Inc. ("Crossroads GPS," "we," "us," or "our"). By accessing our website, purchasing products or services, or engaging with our company, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, please do not use our website or purchase our products or services.
## 1. General
Crossroads GPS, Inc. provides agricultural technology products, precision agriculture equipment, GPS guidance systems, steering systems, software, subscriptions, parts, installation services, support services, and related products.
We reserve the right to modify these Terms and Conditions at any time without prior notice. Continued use of our website or services constitutes acceptance of any revised terms.
## 2. Pricing and Availability
All prices are subject to change without notice.
While we strive for accuracy, pricing, product descriptions, specifications, images, and availability may contain errors. Crossroads GPS reserves the right to correct any errors, inaccuracies, or omissions and to cancel or refuse orders resulting from such errors.
Products are subject to availability and may be discontinued by manufacturers without notice.
## 3. Orders
Submission of an order does not guarantee acceptance.
Crossroads GPS reserves the right to refuse, limit, cancel, or modify any order at our sole discretion, including but not limited to cases involving pricing errors, inventory discrepancies, suspected fraud, or manufacturer restrictions.
Customers are responsible for verifying all order details before submitting an order.
## 4. Payment Terms
Payment is due according to the terms stated on the invoice, quotation, sales order, or service agreement.
Orders may require full or partial prepayment before processing.
Failure to make timely payment may result in delayed shipment, suspension of services, cancellation of orders, collection activity, or assessment of applicable fees.
Customers are responsible for all reasonable collection costs, attorney fees, court costs, and expenses incurred in collecting overdue balances where permitted by law.
## 5. Shipping and Delivery
Shipping dates are estimates only and are not guaranteed.
Crossroads GPS is not liable for delays caused by manufacturers, suppliers, freight carriers, weather, labor shortages, customs delays, or circumstances beyond our control.
Risk of loss and title transfer to the customer upon delivery of products to the carrier unless otherwise required by law.
Customers are responsible for inspecting shipments upon receipt and reporting any shortages, damages, or discrepancies within five (5) business days.
## 6. Returns and Refunds
Return requests must be approved by Crossroads GPS before any product is returned.
Returned products may be subject to manufacturer policies, restocking fees, freight charges, inspection requirements, and return authorization procedures.
Custom orders, special-order items, software licenses, subscription services, activated products, electrical components, and installed products may not be eligible for return.
**All PTx products, software licenses, subscriptions, activations, correction services, and related PTx sales are final and are non-cancelable, non-returnable, and non-refundable.**
Approved returns must be received in new, unused, and resalable condition with original packaging and documentation.
Shipping charges are non-refundable unless otherwise agreed in writing.
## 7. Software, Licenses, Activations, and Subscriptions
Software licenses, activations, subscriptions, correction services, cloud services, and manufacturer-issued digital products are governed by the applicable manufacturer's license agreement and policies.
Once a software license, activation, subscription, or digital service has been delivered, activated, registered, or provisioned, it is non-refundable unless required by law.
Crossroads GPS is not responsible for manufacturer policy changes, service interruptions, or software compatibility issues outside our control.
## 8. Product Compatibility
Customers are responsible for verifying compatibility between products and their equipment prior to purchase.
Recommendations provided by Crossroads GPS are based on information supplied by the customer. Crossroads GPS is not responsible for incompatibility resulting from incomplete, inaccurate, or changing equipment information.
## 9. Installation and Service Work
Installation, configuration, calibration, support, and consulting services are provided using commercially reasonable efforts.
Customers are responsible for ensuring equipment is available, accessible, and in suitable operating condition before service appointments.
Additional labor charges may apply if unforeseen conditions, equipment issues, or customer-requested changes require additional work.
## 10. Limited Warranty Disclaimer
Crossroads GPS does not manufacture most products sold and therefore passes through only those warranties provided by the manufacturer.
Except as expressly stated in writing, Crossroads GPS makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or performance.
Manufacturer warranties, if any, are the sole responsibility of the manufacturer.
## 11. Limitation of Liability
To the fullest extent permitted by law, Crossroads GPS shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
* Crop loss
* Yield loss
* Lost profits
* Loss of data
* Downtime
* Business interruption
* Loss of use
* Equipment damage
* Delayed operations
Whether arising from contract, warranty, negligence, strict liability, or any other legal theory.
In all cases, Crossroads GPS's maximum liability shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.
## 12. Force Majeure
Crossroads GPS shall not be responsible for delays or failure to perform caused by events beyond its reasonable control, including acts of God, weather events, natural disasters, labor disputes, transportation interruptions, government actions, pandemics, supplier shortages, cyber incidents, or utility failures.
## 13. Intellectual Property
All content on this website, including text, graphics, logos, images, software, and design elements, is the property of Crossroads GPS or its licensors and may not be copied, reproduced, distributed, or used without prior written consent.
## 14. Website Use
Users agree not to:
* Violate any applicable laws or regulations.
